An agreement that has to
hold in Pakistan

A deal with a supplier, an agent or a distributor in Pakistan lives or dies by its paper. The paper decides which law applies, which court hears a dispute, and what happens when a payment is late. This page is about the parts that matter before signing.

Where this applies This page covers agreements with a party in Pakistan. Where the other side is in the country you live in, an adviser there drafts it.

What this is about

Three clauses do most of the work. Which law governs the agreement. Where a dispute is decided: a court in Pakistan, a court elsewhere, or an arbitrator. And what exactly counts as a breach, with what consequence. Agreements that are silent on these are the ones that end up on the page about breach.

The rest is ordinary care: the parties named exactly as they are registered, the goods and the money described so that nobody can read them two ways, and the signatures of people who are actually authorised.

What has to be in place

What has to be clear.

  1. Who the parties are, exactly, and who signs for each.

  2. What is being supplied or done, for what, by when.

  3. Where a dispute will be decided.

Note Your advocate confirms which of these apply to your case.

The documents you will be asked for

What an advocate asks for.

  • The registration documents of both companies.
  • The commercial terms as agreed, in whatever form they exist.
  • Any earlier agreement between the parties.

How an advocate helps from where you are

What an advocate does.

  • Drafts the agreement so that it can be enforced in Pakistan.
  • Checks that the other side is who they say they are, and can sign.
  • Sets the dispute clause so that you are not fighting in a forum you never chose.

What to ask before you agree

  • Can this agreement be enforced in Pakistan as drafted?
  • Have you checked that the other side is who they say, and can sign?
  • Where will a dispute be decided, and why there?
  • What do you need from me, and by when?
  • What is your fee, and what is not included in it?
